BOARD OF DIRECTORS OVERVIEW The Board of Directors is the governing body of the Area Agency on Aging. The Board sets policy, provides strategic direction, oversees the business of the agency including management of funds and accountability for all agency activities, contributes and secures resources for the successful operation of the agency, and represents the agency to a wide number of publics Primary responsibilities of Board Directors - Set policy, approve position statements, programs and services. The Board provides overall direction toward achieving the agency’s mission, respond to changes in client needs, and approve strategic directions for the agency including service, advocacy, program goals and objectives. The work of the Board is performed through their Committee structure. Approve Budget and Financial Statements. The Board must approve the annual budget and significant changes in that budget. It must review and approve financial statements at regular meetings. The Board must insist that financial statements are thorough, accurate and reflective of the fiscal status of the corporation, including budget status, income and expense statements and fund balances. The Board must approve the annual audit of the agency conducted by an independent Certified Public Accountant that is selected by action of the Board. Represent the public need and interest to the organization and to positively represent the organization to the public. The viewpoint of the public is heard and represented through the Board and the Advisory Council. The Board has an obligation to promote the organization to the public. Find the resources needed for an efficient organization. Every non-profit organization needs people, money, goods and services. The Board is responsible for identifying suitable candidates for appointment to the Board and Advisory Council. In addition the Directors are to make a contribution within their means and identify potential support for the agency to ensure that financial resources are available to accomplish the organization’s mission and goals. Evaluate organizational effectiveness. Typically, the staff will evaluate the individual programs or services, but it is the Board’s responsibility to ensure that the total organization is effective in achieving its mission and goals. Directors are expected to attend Board meetings and assigned Committee meetings (the Board meets six times per year and committees meet when there is business to accomplish. Meetings of the Board are in person in Oak Park, Illinois or in the City of Chicago Loop area as determined by the Board. Committees may meet in person or by telephone as appropriate to accomplish the assigned responsibilities).
